TIC Event Suite

Terms of Subscription

Version 1 · Effective 14 October 2026

1. Agreement

1.1 These Terms of Subscription (Terms) govern your access to and use of the TIC Event Suite, a set of plug-in tools for Vectorworks, together with its libraries, the AI Helper, the user manual and related online services (together, the Suite).

1.2 The Suite is supplied by The Imagination Collaborative Pty Ltd, ABN 37 663 415 058 (TIC, we, us, our).

1.3 These Terms apply from the earliest of accepting them at checkout under clause 1.6, activating a Licence Key, or installing or using the Suite. Before activating the Suite, each Authorised User must agree to comply with clauses 14, 15.2 and 16, and you remain responsible for each Authorised User's compliance. If you accept these Terms on behalf of an organisation, you warrant that you have authority to bind it, and you means that organisation. You also acknowledge our Privacy Policy.

1.4 If the documents that make up our agreement are inconsistent, they apply in this order: (a) any signed Enterprise agreement or order form; (b) the Pricing Page, as to the features, prices and allowances of each Plan and Add-on; (c) these Terms; and (d) Schedule 1.

1.5 You must be at least 18 years of age to start a Trial, purchase a Subscription or enter into these Terms, and by doing so you confirm that you are. If we become aware that a person under 18 has done so, we may end the Trial or Subscription and refund any fees paid.

1.6 You cannot complete checkout without ticking the box confirming that you have read and agree to these Terms. Before you tick, the checkout links to these Terms and draws your attention to clause 8 (automatic renewal), clause 25 (professional responsibility) and clause 29 (limitation of liability). We keep a record of your purchase, including the date and time, and the version of these Terms then in effect.

1.7 Each version of these Terms carries a version number and date of effect. We keep a copy of every version, and of the Pricing Page as at each change, and will provide the version that applies to you on request.

1.8 You agree to enter into these Terms, and to receive notices, receipts, reminders and other communications, electronically. Ticking the box and clicking to accept at checkout or on activation is your signature. Our electronic records of checkout, acceptance, activation, licence verification and payment are evidence of what they record.

1.9 The Suite is offered and marketed to Business Customers only. By purchasing, you confirm that you are buying it for your trade, business, craft or profession. If you are nonetheless a consumer under the Australian Consumer Law, clauses 12.3, 28.2 and 28.4 apply.

2. Definitions

  • Account means your account on our website, used to manage your Subscription.
  • Add-on means an optional paid addition to a Subscription, including an AI Helper Boost.
  • Authorised User means the one individual whose email address the Account is registered to and who is entitled to use a Trial or Subscription or, for Enterprise, the individual assigned to a Seat.
  • Billing Period means each monthly or yearly period for which a Subscription or Add-on is paid.

  • Consumer means an individual acting for purposes wholly or mainly outside their trade, business, craft or profession. A reference to a consumer under the Australian Consumer Law has the meaning given in that law. • Device means a physical computer, or a virtual machine, on which the Suite is activated.
  • GST has the meaning given in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
  • Licence Key means the key issued to activate a Trial or Subscription.
  • Outputs means drawings, reports, schedules, exports, plan sets, event briefs and other material you create using the Suite for a site, venue or event, but does not include library content, or any file, template, export or collection created or used mainly to copy, store, transfer or reuse library content.

3. Requirements

3.1 You must hold a valid licence for Vectorworks. Vectorworks is not supplied under these Terms.

3.2 The supported Vectorworks versions and operating systems are listed on our website.

3.3 The Suite requires an internet connection for activation and for licence verification under clause 15.

3.4 On installation, the Suite adds its menus and tools to your Vectorworks workspace, and the installer creates a backup of the workspace files it modifies. Clause 25.3 continues to apply.

4. Plans

4.1 Each Plan includes the features described on the Pricing Page. A summary at the date of these Terms is in Schedule 1. Clause 21.1 applies to any removal of a material feature from your Plan, including by a change to the Pricing Page.

4.2 On Core and Plus, the region, suppliers and tent manufacturers available from the style libraries are selected at first installation and are fixed for the life of the Licence Key, unless we agree to reset them.

4.3 We may add new tools and features to the Suite from time to time and determine which Plans include them.

4.4 Enterprise Subscriptions are quoted per Seat, require a minimum of 5 Seats, and are billed yearly.

4.5 For Enterprise Subscriptions, Seats added during a Billing Period are charged pro rata to the end of that period, and Seats may be reduced only at renewal, to no fewer than 5. You are responsible for assigning Seats and for each Authorised User's compliance with these Terms.

5. Free Trial

5.1 A Trial provides access to the Pro Plan for 14 days from sign-up, whichever Plan you select.

5.2 We collect your payment details at sign-up. No charge is made during the Trial. A temporary authorisation may be placed on your card to verify it, which is released and is not a charge.

5.3 We will email you at least 3 days before the Trial ends, stating the date and amount of the first charge and how to cancel. If we do not send that email and you ask us within 30 days after the first charge, we will cancel your Subscription and refund that charge in full.

5.4 Unless you cancel before the Trial ends, your Subscription begins automatically at the end of the Trial on the Plan and Billing Period you selected, at the price stated at sign-up, and we charge your payment method.

5.5 On conversion, your Trial Licence Key is replaced by a paid Licence Key, which is available in your Account.

5.6 One Trial is available per individual, organisation, payment method and Device. We may decline or end a Trial where we reasonably believe this clause has been breached, including through the use of multiple email addresses or Accounts.

5.7 Founding Member pricing is not available on conversion of a Trial.

5.8 We may offer different trial terms by separate agreement, and may change or withdraw Trial offers at any time. A change does not affect a Trial already started.

5.9 If your Subscription begins on a Plan other than Pro, clauses 9.4 and 9.5 apply at the end of the Trial as if you had changed from Pro to that Plan.

6. Founding Member offer

6.1 Up to 10 Founding Member Subscriptions are offered on the Pro Plan, billed yearly and purchased directly without a Trial, while places remain.

6.2 The Founding Member price is US$349 a year for the first two years. From the start of the third year, the Subscription renews at the standard Pro Plan price then in effect. We will give notice of the change under clause 21.2.

6.3 While the Founding Member price applies, the AI Helper allowance is 100 questions a month.

6.4 The Founding Member price ends permanently if you change Plan or Billing Period, or if your Subscription ends for any reason.

6.5 You may cancel a Founding Member Subscription within 30 days after purchase by notice to us. We will refund the amount paid in full and end the Subscription.

7. Fees, payment and taxes

7.1 Fees are as stated on the Pricing Page and are payable in US dollars, in advance, for each Billing Period.

7.2 Payments are processed by Stripe. We do not receive or store your full card details. You authorise us, through Stripe, to charge your nominated payment method for all fees when due.

7.3 Prices on the Pricing Page and at checkout do not include GST. If you are in Australia, GST at 10% is added at checkout and shown on your tax invoice. Customers outside Australia are not charged GST. We work out where you are from your billing address and the other details you give at checkout. If we are required by law to charge any other tax, such as VAT or sales tax, it is added at checkout and shown on your receipt. Where you provide a valid tax registration number and the law allows, the supply is made on a reverse charge basis and you account for the tax.

7.4 You are responsible for any bank, currency conversion or card fees charged by your own provider.

7.5 We issue a receipt by email for every payment and, where GST is charged, a tax invoice.

7.6 We may suspend access while a payment dispute or chargeback is unresolved, unless it concerns a charge we made in error.

7.7 If a price on the Pricing Page or at checkout is clearly wrong because of an error, we may, before your Subscription begins or within 7 days after the charge, cancel the order and refund the amount paid, or offer the Subscription at the correct price, which you may decline for a full refund.

8. Automatic renewal and reminders

8.1 Your Subscription, and any Add-on, renews automatically at the end of each Billing Period for a further Billing Period of the same length, and we charge your payment method, until you cancel.

8.2 For yearly Subscriptions, we will email you at least 30 days before each renewal, stating the renewal date, the amount and how to cancel. If we do not send that email and you ask us within 30 days after the renewal charge, we will cancel your Subscription and refund that charge in full.

8.3 Price changes are governed by clause 21.

8.4 Before you start a Trial or Subscription, the checkout states, clearly and next to the button you click, the price and Billing Period, that the Subscription renews automatically until cancelled, for a Trial the date the first charge will be made, and that you can cancel at any time in your Account. After sign-up, we email you a confirmation that sets out those terms, explains how to cancel in your Account, and links to these Terms. We keep a record of your purchase for at least three years.

9. Changing Plan or Billing Period

9.1 You may change Plan or Billing Period in your Account. Your Licence Key does not change.

9.2 An upgrade takes effect immediately. Any amount payable is shown before you confirm.

9.3 A downgrade takes effect at the start of the next Billing Period, and you retain your current Plan until then. No refund or credit is given for the remainder of the current Billing Period.

9.4 After a downgrade, objects created with tools not included in the new Plan remain in your drawings and remain visible, but cannot be edited, and no further such objects can be placed until you upgrade. Icons already placed continue to display.

9.5 After a downgrade, the library content available to you reflects the new Plan. Library content already in your drawings is not removed.

9.6 A change of Plan or Billing Period ends any Founding Member price under clause 6.4.

10. Cancellation by you

10.1 You may cancel your Subscription or any Add-on at any time in your Account. Cancellation takes effect at the end of the current Billing Period, and no further charges are made.

10.2 If you cancel during a Trial, no charge is made and access continues until the Trial ends.

10.3 You may reverse a cancellation in your Account before it takes effect.

10.4 Clause 24 applies when your Subscription ends.

10.5 If an individual subscriber dies or loses legal capacity, their personal representative or attorney may cancel the Subscription by notice to us with reasonable evidence. Cancellation takes effect on receipt of the notice, no further charges are made, and we will refund any fees charged after the date of death or loss of capacity.

11. United Kingdom and European Union

11.1 Under clause 1.9, the Suite is not offered or marketed to Consumers in the United Kingdom or the European Union.

11.2 There is no cooling-off period for Business Customers, and clause 10 applies to any cancellation.

11.3 We may require a valid UK or EU VAT registration number before accepting an order from the United Kingdom or the European Union, and may cancel and refund an order placed without one.

12. Refunds

12.1 You are entitled to a refund where the Australian Consumer Law or any other law gives you one (see clauses 12.3 and 28.2). We also give refunds under clauses 1.5, 5.3, 6.5, 7.7, 8.2, 10.5, 17.3, 17.4, 21.1, 22.2, 23.3 and 31. Otherwise, fees are non-refundable, and no refund or credit is given for part of a Billing Period or for unused features.

12.2 Refund requests may be made to [email protected]. This does not limit clause 12.3.

12.3 Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law, or under any other law, that cannot lawfully be excluded, including a refund for a major failure.

13. Failed payments

13.1 If a payment fails, we will notify you by email and retry your payment method for up to 14 days (the retry period).

13.2 Access continues after a failed payment for 2 days on a monthly Subscription and for 7 days on a yearly Subscription. If the first payment after a Trial fails, access ends when the Trial ends. In each case the Suite then operates as described in clause 24(b) until payment is received, when full access resumes.

13.3 If payment is not received by the end of the retry period, your Subscription ends and clause 24 applies.

14. Licence

14.1 Subject to these Terms and payment of the fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Suite during your Trial or Subscription, in accordance with your Plan, for your own business or professional purposes, including producing Outputs for your clients.

14.2 Each Trial and each Subscription is for one Authorised User, who may activate it on up to 2 Devices. Use by more than one individual requires a separate Subscription or Seat for each.

14.3 You may release a Device in your Account and activate another in its place.

14.4 If you are an organisation, you may reassign a Subscription or Seat to another individual by notice to us or in your Account, no more than once in any 3 months, except where the Authorised User has left your organisation, died or become unable to work.

14.5 The Suite is licensed, not sold. We and our licensors retain all rights not expressly granted.

14.6 Only the Authorised User may use a Trial or Subscription. You must not share a Licence Key or Account credentials, or make the Suite available to anyone else, including through a shared login, remote desktop, terminal server, or a virtual machine that others can access.

14.7 If the Suite is used by more individuals than your Trial or Subscription allows, you must pay, within 14 days of our invoice, the fees on the Pricing Page for a Subscription on the same Plan and Billing Period for each additional individual, for each Billing Period or part of one in which that use occurred. Payment does not license any further use. Any amount paid is deducted from any damages we recover for the same use.

15. Licence verification

15.1 The Suite verifies your Licence Key with our servers when Vectorworks starts. If verification cannot be completed, the Suite continues to operate for up to 7 days from the last successful verification. After that period, the Suite operates as described in clause 24(b) until verification succeeds.

15.2 You must keep your Licence Key and Account credentials confidential, and you are responsible for all use of them. You must notify us promptly of any unauthorised use.

15.3 We use the information collected under clause 26.2, including Device identifiers, Vectorworks serial numbers and activation records, to check that the Suite is used in accordance with these Terms. If we reasonably believe the Suite is being used in breach of clause 14 or 16, we may by notice ask you to confirm in writing, within 14 days, the individuals and Devices using the Suite, and you must give that confirmation accurately. We will not ask more than once in any 12 months unless we reasonably believe a breach is continuing.

16. Restrictions

You must not, and must not permit anyone else to:

  1. copy, modify, adapt, translate or create derivative works of the Suite, except as necessary to use it in accordance with these Terms;
  2. decompile, disassemble or reverse engineer the Suite, except to the extent that law which cannot be excluded permits;
  3. circumvent, disable or interfere with licence verification or any technical restriction in the Suite;
  4. rent, lease, lend, sell, sublicense, distribute or otherwise make the Suite available to any third party;
  5. extract, copy or redistribute library content, including styles, symbols and icons, as a collection or for use outside the Suite, except as part of Outputs;
  6. use the Suite or the AI Helper unlawfully, to infringe any person's rights, or to develop a competing product;
  7. use the AI Helper in breach of the usage policy of our AI service provider, or to submit content that is unlawful, harmful or infringing; or
  8. use the Suite in breach of any sanctions or export control law, or if you are a person subject to such sanctions.

17. Updates and compatibility

17.1 We may release updates to the Suite. Licence verification, the libraries and the AI Helper may require the current version.

17.2 We support the current version of the Suite only.

17.3 We will use reasonable efforts to support new releases of Vectorworks. We may cease to support an earlier version of Vectorworks on 30 days' notice. If you cannot continue to use the Suite as a result, you may cancel, and we will refund the unused portion of the current Billing Period.

17.4 Vectorworks is controlled by a third party. If a change to Vectorworks prevents the Suite from operating and we cannot restore operation within a reasonable time, you may cancel, and we will refund the unused portion of the current Billing Period.

17.5 Features identified as preview or beta are provided as is, subject to clause 12.3, and may be changed or withdrawn at any time.

18. AI Helper

18.1 The AI Helper is an artificial intelligence system. Its answers are generated automatically by third-party AI models, are not reviewed by a person, and may be inaccurate or incomplete. You must check any answer before relying on it.

18.2 Each Plan includes the monthly question allowance shown in Schedule 1. Each month's allowance runs from the day of the month on which your Subscription renews (or the last day of a shorter month) to the same day the next month. Unused questions do not carry over. A Trial includes the number of questions shown in Schedule 1 for the whole Trial, not each month.

18.3 Boost Add-ons provide additional questions each month and, on Core and Plus, enable questions about the open drawing. Add-ons are billed and renew under clauses 7 and 8, may be cancelled under clause 10, and end when your Subscription ends.

18.4 When you ask a question, we send the following to our servers and, to generate the answer, to our AI service provider: the question and the earlier questions and answers in that session; the Suite version; the name of the open drawing; a summary of what is in the drawing and what is selected, including object names and counts; a record of recent Suite activity; and, where your Plan or Add-on allows questions about the open drawing, the information the AI Helper reads from the drawing to answer, which may include object names, record data, class and layer names, sizes and positions. Your Licence Key is sent to our servers only, to check your allowance. The drawing file itself is not sent. If you ask the AI Helper to report a bug or request a feature, the report, including your question and a reference to your Licence Key, is recorded in our support system. You must not include in a question personal information about another person, or information you are not entitled to disclose.

18.5 We may change the AI service provider or model, and may suspend access to the AI Helper for misuse or to protect our services.

19. Third-party services and content

19.1 The Suite relies on third-party services, including Vectorworks, Stripe, HighLevel, Keygen, Cloudflare, Resend, Anthropic, monday.com, Open-Meteo, Google Maps, what3words and Geepers. Your use of a third-party service may be subject to that provider's terms.

19.2 Supplier and manufacturer data in the libraries is provided by third parties. We do not warrant its accuracy. You must verify it against the manufacturer's current specifications before ordering or building.

20. Intellectual property

20.1 We and our licensors own all intellectual property rights in the Suite. Supplier and manufacturer names, product data and trade marks belong to their owners.

20.2 As between you and us, you own your Outputs, subject to our rights in any library content incorporated in them, which you may use under clause 20.3.

20.3 Library content incorporated into Outputs during your Trial or Subscription may continue to be used, reproduced and distributed as part of those Outputs after your Subscription ends, but must not be extracted from them for reuse in other drawings or files.

20.4 If you give us feedback, bug reports or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them for any purpose, without obligation to you.

21. Changes to the Suite and to prices

21.1 We may modify the Suite. If we remove a material feature from your Plan, we will give you at least 30 days' notice, and you may cancel and receive a refund of the unused portion of the current Billing Period.

21.2 We may change prices by notice by email. The notice will be given at least 30 days before the renewal at which the new price first applies or, if you are resident in California, between 7 and 30 days before that renewal. You may cancel before that renewal without charge. A price change does not apply to a Billing Period already paid for.

21.3 Founding Member pricing is governed by clause 6.

22. Changes to these Terms

22.1 We may amend these Terms by giving you at least 30 days' notice by email.

22.2 An amendment that is materially adverse to you takes effect from your first renewal after the notice period. If you do not accept it, you may cancel before it takes effect, or within 30 days after it takes effect and receive a refund of the unused portion of the current Billing Period.

22.3 An amendment required by law, or reasonably necessary to address a security risk or misuse of the Suite, may take effect on shorter notice. If it is materially adverse to you, clause 22.2 applies to your right to cancel and receive a refund.

22.4 The version of these Terms in effect when you accepted them applies to you, as amended under this clause 22. An amendment that is not materially adverse to you takes effect at the end of the notice period.

23. Suspension and termination by us

23.1 We may suspend or terminate your Subscription by notice if you materially breach these Terms and, where the breach can be remedied, you fail to remedy it within 14 days of our notice. We may suspend without prior notice where a breach is serious or continuing, or where necessary to protect the Suite, other users or third parties.

23.2 To the extent permitted by law, no refund is payable on termination under clause 23.1 or 23.4.

23.3 We may discontinue the Suite by giving at least 30 days' notice. We will refund the unused portion of any prepaid Billing Period.

23.4 We may also suspend or terminate your Trial or Subscription by notice if: (a) you are, or become, subject to sanctions, or your use would breach any sanctions or export control law; (b) a chargeback or payment dispute is raised for a charge validly made under these Terms and is not withdrawn within 14 days after our notice; (c) you breach clause 5.6, 15.2 or 16 in a way that cannot be remedied; or (d) you are a company or other entity and become insolvent, subject to any stay on the enforcement of rights that applies under law.

23.5 While your Subscription is suspended under clause 7.6 or 23, the Suite operates as described in clause 24(b), your drawing files are unaffected, and fees remain payable only if the suspension results from your breach of these Terms or from a chargeback under clause 7.6. When a suspension is lifted, full access resumes.

24. Effect of expiry or termination

When your Trial or Subscription ends for any reason:

(a) the licence in clause 14 ends;

(b) objects created with the Suite remain in your drawings and remain visible, but cannot be edited, and no further objects can be placed, until full access is restored;

(c) the Suite does not lock or delete your drawing files, and we do not access them, other than the information described in clause 18.4 received while you used the AI Helper;

(d) unless we terminated your Subscription under clause 23, your Account remains available and you may subscribe again;

(e) we retain Account, billing and AI Helper records in accordance with our Privacy Policy;

(f) clauses 1, 2, 7 (as to fees accrued before the end), 12, 14.5, 14.7, 15.2, 15.3 (for 12 months after the end), 16, 19, 20, 24 to 26 and 28 to 34 continue to apply; and

(g) the end does not affect any right or liability that accrued before it, including our right to recover fees and to claim for any breach of clause 14 or 16.

25. Professional responsibility

25.1 The Suite is a drafting and planning aid. Quantities, reports, schedules, compliance checks and AI Helper answers are generated from the information in your drawing and from the rules, library data and assumptions built into the Suite at the time, which may be incomplete, out of date or not suited to your site or event. A compliance check tests only the matters it states, against the version of the code or standard it names, and does not confirm that a plan complies with any law, code, standard or authority requirement. The Suite does not provide engineering, legal, crowd safety or other professional advice, and does not replace professional judgement, engineering certification, a site inspection or the approvals your event requires.

25.2 You are responsible for ensuring that your plans and Outputs comply with applicable laws, codes, standards, manufacturers' specifications and the requirements of the relevant authorities.

25.3 You are responsible for keeping backups of your drawings and data.

25.4 Before relying on a quantity, report or compliance check, or giving it to a client, contractor or authority, you must check it against your drawing and the requirements that apply.

25.5 If you become aware of an error in an Output that may have been caused by the Suite, you must stop relying on that Output and tell us promptly.

26. Privacy

26.1 We handle personal information in accordance with our Privacy Policy.

26.2 The information we collect includes your name, email address, IP address, billing details through Stripe, your Licence Key, an identifier for each Device, your Vectorworks serial number, the AI Helper data described in clause 18.4, and any bug reports and feature requests you submit.

26.3 This information is processed by our service providers, including Stripe, HighLevel, Keygen, Cloudflare, Resend, Anthropic and monday.com, some of which are located outside Australia, including in the United States. Stripe also processes certain information as an independent controller under its own privacy policy.

26.4 We treat the information described in clause 18.4, and the content of your bug reports, as confidential. We use it only to provide, support, secure and improve the Suite, disclose it only to our service providers for those purposes or where required by law, and do not use it, or allow our AI service provider to use it, to train AI models.

27. Support

Support is provided through the user manual, the AI Helper and by email to [email protected]. Enterprise Subscriptions include onboarding and a nominated contact. Response times are not guaranteed unless agreed in writing.

28. Warranties and consumer guarantees

28.1 We will supply the Suite with due care and skill. To the extent permitted by law, we do not warrant that the Suite or any third-party service will be uninterrupted or error-free.

28.2 Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to choose a refund or replacement for major failures with goods. If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done, you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion. You are also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or service.

28.3 SUBJECT TO CLAUSES 12.3 AND 28.2, AND TO THE EXTENT PERMITTED BY LAW, ALL WARRANTIES AND CONDITIONS NOT EXPRESSLY SET OUT IN THESE TERMS ARE EXCLUDED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. THIS DOES NOT AFFECT ANY CONSUMER GUARANTEE UNDER THE AUSTRALIAN CONSUMER LAW.

28.4 If you are a consumer under the Australian Consumer Law and the Suite is not of a kind ordinarily acquired for personal, domestic or household use or consumption, then, to the extent permitted by section 64A of the Australian Consumer Law, our liability for a failure to comply with a consumer guarantee (other than a guarantee under section 51, 52 or 53) is limited, at our option, to: (a) for goods, replacing the goods or supplying equivalent goods, repairing the goods, or paying the cost of doing either; and (b) for services, supplying the services again or paying the cost of having them supplied again.

29. Limitation of liability

29.1 Subject to clauses 28.4 and 29.3, and to the extent permitted by law, our total liability to you for all claims arising out of or in connection with the Suite or these Terms, whether in contract, tort (including negligence), under statute or otherwise, is limited in aggregate to the greater of US$100 and the fees you paid us in the 12 months before the first event giving rise to any claim.

29.2 Subject to clause 29.3, and to the extent permitted by law, we are not liable to a Business Customer, however arising (including in negligence), for: (a) loss of profit, revenue, business, contracts, data or goodwill; (b) fines, penalties, or the cost of any regulatory investigation or enforcement action; (c) the cost of cancelling, delaying, redesigning or reinstating an event, or of additional equipment, labour or materials; (d) liability to, or claims by, any third party, including event attendees, clients, contractors and authorities; or (e) any indirect or consequential loss.

29.3 Nothing in these Terms excludes or limits: (a) any right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded or limited, which is limited only as set out in clause 28.4 where that clause applies; (b) our liability for fraud; or (c) our liability to you for your own death or personal injury caused by our negligence.

30. Indemnity

If you use the Suite in the course of a business, you indemnify us against any loss, liability and reasonable cost (including legal costs) arising from a claim by a third party, including an event attendee, client, contractor or authority, to the extent it arises from: (a) your breach of clause 14 or 16; (b) your unlawful use of the Suite; or (c) any plan, Output or event that you prepared, approved, supplied or delivered using the Suite, except to the extent the claim is caused by our breach of these Terms or our negligence.

31. Events beyond our control

We are not liable for any delay or failure caused by events beyond our reasonable control, including failure of third-party services, internet outages, natural disasters, industrial action and government action. If such an event prevents use of the Suite for more than 30 consecutive days, either party may cancel the Subscription by notice, and we will refund the unused portion of the current Billing Period.

32. Notices

32.1 We may give notices to the email address in your Account. A notice is taken to be received when sent, unless we receive notice that it was not delivered. We keep a record of each notice sent, including the time and the address it was sent to.

32.2 You may give notices to [email protected].

33. General

33.1 These Terms, the Pricing Page and any signed Enterprise agreement or order form are the entire agreement between us about the Suite.

33.2 If any provision of these Terms is invalid, unenforceable or unfair under any law, it is read down to the extent necessary to make it valid and enforceable and, if it cannot be read down, the offending words are severed. The remainder continues in effect.

33.3 A failure or delay in exercising a right is not a waiver of it.

33.4 We may assign or novate our rights and obligations under these Terms to a successor to the Suite on notice to you. You may not assign or transfer your Subscription without our written consent.

33.5 Nothing in these Terms creates a partnership, agency or employment relationship.

34. Governing law and disputes

34.1 These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales.

34.2 If you are a Consumer, you also have the benefit of the mandatory laws of the country where you live, and you may bring proceedings in the courts of that country.

34.3 Except where urgent relief is sought, the parties will first attempt to resolve any dispute by good faith discussion for 30 days before commencing proceedings. This clause does not prevent us from suspending access under clause 7.6 or 23, or from recovering unpaid fees.

34.4 You acknowledge that a breach of clause 14, 15.2 or 16 may cause us loss for which damages alone are not an adequate remedy, and that we may seek an injunction or other urgent relief in any court of competent jurisdiction without first following clause 34.3.

34.5 Despite clause 34.1, if you are a Business Customer, you submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia sitting in New South Wales, and the courts hearing appeals from them. This does not prevent us from seeking relief under clause 34.4, or recovering unpaid fees, in any court of competent jurisdiction.
